Terms of Service
Effective date: July 29, 2026
These Terms of Service govern use of the FAYON LLC website and requests or purchases for our technical consulting services. "FAYON," "we," "us," and "our" refer to FAYON LLC.
1. Company and contact information
FAYON LLC provides website technical consultations, API integration architecture assessments, and cloud architecture and cost reviews. Our contact details appear at the end of this policy and on the Contact Us page.
2. Eligibility and acceptance
You must be at least 18 years old and legally able to enter into a contract to request or purchase a service. By using this website, submitting a service request, or purchasing an accepted service, you agree to these Terms of Service.
3. Services and order scope
Each service page describes the fixed-price service, included deliverables, price, and expected delivery timing. An accepted order covers only the deliverables stated on that page or in a later written agreement accepted by both parties. Coding, implementation, licensing, hosting, remote device control, and third-party costs are not included in the listed packages.
4. Service requests, orders, and payment
Prices are displayed in U.S. dollars as one-time service prices unless stated otherwise. Adding a service to the browser cart or sending a service-request email does not complete a purchase. FAYON LLC will confirm availability, scope, scheduling, and payment instructions before work begins.
If online checkout is enabled in the future, applicable taxes may be added and payment will be handled by the payment provider shown at checkout. We may decline a request that contains an obvious pricing error, cannot lawfully be fulfilled, or falls outside the service description. Any payment already received for a declined order will be refunded in full.
5. Scheduling and fulfilment
After an order is accepted, we collect the project requirements and customer-provided materials needed for the service. These may include documentation, configuration exports, screenshots, or mutually agreed read-only access. The listed packages do not include remote control of a customer's personal device.
Work normally begins within two business days after payment and receipt of complete intake materials. Delivery timing appears on the relevant service page, and deliverables are supplied electronically unless both parties agree otherwise in writing.
6. Customer responsibilities
You must provide accurate information, timely feedback, and lawful access to systems you own or are authorized to use. Any agreed system access must be limited to permissions reasonably needed for the review and may be revoked after delivery. You remain responsible for backups, reviewing recommendations, and deciding whether to deploy a proposed change. Delays caused by missing materials, access, information, or approvals extend the delivery schedule.
7. Cancellations, refunds, and returns
Cancellation, rescheduling, and refund eligibility are governed by our Refund/Return Policy. FAYON LLC sells digital professional services rather than physical goods, so there is no physical return process.
8. Intellectual property
After full payment, you may use customer-specific deliverables for your internal or commercial business purposes. FAYON LLC retains ownership of its pre-existing tools, templates, methods, know-how, and reusable code. If those materials are included in a deliverable, we grant you a non-exclusive, perpetual license to use them as part of that deliverable. Third-party software remains subject to its own license.
9. Confidentiality
Each party will use reasonable care to protect non-public information received for the service and will use it only to perform or receive the agreed work. This obligation does not cover information that is public through no breach, already lawfully known, independently developed, or required to be disclosed by law. Do not send passwords, secret keys, or other authentication credentials by email. If read-only access is required, the parties must agree on a secure method using temporary, least-privilege access that can be revoked after delivery.
10. Acceptable use and legal restrictions
You may not use our website or services to violate law, infringe another party's rights, introduce malicious code, gain unauthorized access, or misrepresent your identity or authority. We may suspend work and refund any unearned amount if completing an order would create a legal, security, or safety risk.
Services are not offered to sanctioned persons or where providing them would violate applicable United States export-control or sanctions laws. You confirm that you are not requesting a service for a prohibited or restricted person or entity.
11. Third-party services
Recommendations may refer to third-party software, hosting, APIs, or other services. FAYON LLC does not control those providers and is not responsible for their availability, pricing, terms, security, or later changes. You decide whether to obtain and use any third-party service.
12. Warranties and disclaimers
We will perform accepted services with reasonable care and professional skill. Recommendations are based on the information available during the engagement and do not guarantee a particular commercial, technical, security, or cost outcome. Except for this commitment and rights that cannot legally be excluded, services are provided without other express or implied warranties.
13. Limitation of liability
To the maximum extent permitted by law, FAYON LLC's total liability arising from a purchased service will not exceed the amount paid for that service. We are not liable for indirect, incidental, special, exemplary, or consequential losses, including lost profits, revenue, data, or business opportunities. These limits do not apply where liability cannot lawfully be limited.
14. Indemnification
To the extent permitted by law, you agree to defend and indemnify FAYON LLC against third-party claims arising from materials or system access you provide without lawful authority, your unlawful use of a deliverable, or your material breach of these terms. This obligation does not apply to the extent a claim results from FAYON LLC's own negligence or willful misconduct.
15. Suspension and termination
Either party may end an engagement as provided in the Refund/Return Policy or a written service agreement. We may suspend or terminate access to the website or an engagement for material breach, unlawful activity, non-payment, or a material security risk. Terms that by their nature should survive termination, including payment, intellectual property, confidentiality, disclaimers, and liability limits, remain effective.
16. Privacy
Our collection and use of personal information are described in the Privacy Policy.
17. Governing law and disputes
These terms are governed by the laws of the State of New Mexico, United States, without regard to conflict-of-law principles. Before filing a claim, each party agrees to make a good-faith effort to resolve the issue directly. Any non-waivable consumer rights remain unaffected.
18. Changes to these terms
We may update these terms for future requests and orders. The effective date identifies the current version. Changes do not retroactively alter an order already accepted unless required by law or agreed in writing.
